  8.    Mr. Gilbreath has 17 years professional experience in informational
  9.    sales and consumer product market development. During this period, he
  10.    designed and developed over thirty products from musical instruments
  11.    to multimedia players. In addition, he has extensive experience in
  12.    running international engineering teams, vendor negotiations,
  13.    licensing, patents and supervising off-shore manufacturing. Mr.
  14.    Gilbreath also has extensive sales experience including the sale of
  15.    graphics systems from gaming terminals in Europe to video editing
  16.    systems in Asia.

  18.    Most recently, Mr. Gilbreath was founder and president of Gilbreath
  19.    Systems, Inc., (GSI), a Westchester, PA firm specializing in
  20.    international contract engineering and product development. Its
  21.    current product lines include video production test equipment and
  22.    consumer universal remote control. Previously, he served as general
  23.    engineering contractor to OCTus, Inc., San Diego, CA, designing a
  24.    smart-phone system which incorporated voice-data-fax and in context
  25.    data base management at a PC terminal.

  27.    During the period of 1980-91, Mr. Gilbreath worked with Commodore
  28.    International Ltd., as Manager, Consumer Products, R&D (1980-1985),
  29.    Director of Research and Development (1985-1987) and Director of
  30.    Product and Market Development (1987-1991). During this period, he
  31.    reported directly to the Chairman and designed CDTV, the first
  32.    consumer multimedia player as well as secured original funding, hired
  33.    and negotiated all sub-contractors in North America, Europe and Japan.
  34.    He also created and developed OEM sales channels and vertical markets
  35.    for Commodores complete line of microcomputers and peripherals. He
  36.    developed product strategy including joint ventures and acquisitions
  37.    and was responsible for developing a 1200 baud modem, a 3.5-inch
  38.    floppy disk drive, RGB video card/ram expansion, laser disk authoring
  39.    for Amiga computer and broadband receivers for financial data service.

  41.    As an independent contractor, Mr. Gilbreath worked on the creation of
  42.    X*Press Cable Data Service (a TCI/McGraw Hill venture) and developed a
  43.    new video processor for the American Stock Exchange floor. He also
  44.    undertook projects for General Electric (i.e., solid state florescent
  45.    ballasts), Johnson Controls (i.e., electronic thermostat) and other
  46.    vendors. Mr. Gilbreaths professional career also includes service with
  47.    Safetran Data Systems (Colorado Springs, CO) and DHG Sound Co. (Santa
  48.    Rosa, CA). Mr. Gilbreaths educational background includes a BS in
  49.    Biomedical Engineering from Colorado Technical College (1976) and
  50.    Mathematics and Acoustic Engineering from University of California
  51.    (1973).
